Search for any upcoming IPO and you'll see a number called GMP, the grey market premium, quoted as if it predicts listing day. It's one of the most searched IPO terms in India, and also one of the most misunderstood. Here's what it really is.
What is GMP in an IPO?
The grey market is an unofficial, unregulated market where people trade IPO shares (or allotment rights) before the shares list on the stock exchange. The grey market premium is the extra amount over the issue price that traders in this market are willing to pay.
Example: if an IPO's upper price band is ₹100 and the GMP is ₹20, grey market traders expect it to list around ₹120, a 20% premium.
Estimated listing price = Upper price band + GMP
Other grey market terms
| Term | Meaning |
| GMP | Premium per share over the issue price |
| Kostak rate | A fixed amount paid for an IPO application, whether or not it gets allotment |
| Subject to sauda | An amount paid for an application only if it gets allotment |
| Negative GMP | Traders expect the stock to list below the issue price |
How to read GMP trends
- Rising GMP during the subscription period often reflects strong demand, especially from institutions.
- Falling GMP can signal weak subscription or a worsening market mood.
- GMP vs subscription: official QIB, NII and retail subscription data from the exchanges is far more reliable than GMP.
Why GMP is risky to rely on
- It's unregulated. SEBI doesn't oversee the grey market. There's no official record, no investor protection and no guarantee deals will be honoured.
- It can be manipulated. A few operators can quote high GMPs to attract retail applications.
- It changes fast. GMP can swing sharply in a day, especially when the broader market is volatile, as in October 2026.
- It's often wrong. Many IPOs have listed well below their last quoted GMP, and some with positive GMP listed at a discount.
- It says nothing about long-term value. A listing gain doesn't make a company a good long-term investment.
What to look at instead
- The company's financials and valuation in the RHP.
- Whether the IPO is a fresh issue or an offer for sale.
- Final-day subscription, especially the QIB portion.
- The overall market direction during the issue period.

Frequently asked questions
Is GMP legal?
The grey market operates outside regulated exchanges and is not recognised by SEBI. Trading in it carries legal and counterparty risks.
Is a high GMP a guarantee of listing gains?
No. GMP is a sentiment indicator, not a promise. Listing prices are set by actual demand on listing day.
Where can I check official IPO subscription data?
On the NSE and BSE websites, which publish category-wise subscription figures during the issue period.
